A Study of CEO Management Philosophy and Corporate Governance - Variation of Executive Compensation

2009 International Conference on Management and Service Science, 2009

According to past empirical studies, the board of director has the function of increasing firm value. However, in Taiwan, where family control is the rule, the board does not play an effective monitoring role. We suggest that in this type of environment, CEO's honesty is the foundation of effective corporate governance. In this study, we develop a proxy variable to ...

Legal and ethical aspects of technical communication: A special issue

IEEE Transactions on Professional Communication, 1987

AS a teacher of technical and professional writing, I have in recent years become acutely aware of what practicing technical communicators have always known: all communication has effects both intended and unintended. We communicate in dynamic and multidimensional environments and, no matter how hard we try, we sometimes cannot anticipate the consequences of our communications. Two powerful dimensions that we ...

  • A Study of CEO Management Philosophy and Corporate Governance - Variation of Executive Compensation

According to past empirical studies, the board of director has the function of increasing firm value. However, in Taiwan, where family control is the rule, the board does not play an effective monitoring role. We suggest that in this type of environment, CEO's honesty is the foundation of effective corporate governance. In this study, we develop a proxy variable to represent the CEO's management philosophy (MP) by calculating the ratio of executive compensation divided by the net income of the firm. Then, we use the variation in this ratio to evaluate the CEO's MP. If the ratio is less than zero, it means that the CEO is not only benefiting the stakeholder, but also him/herself. In contrast, if the ratio is more than zero, it means that CEO is primarily benefiting him/herself from taking advantage of the stakeholder. The aim of this paper is to investigate the relationship between MP and firm performance. We find that a decrease in MP will increase firm value. In addition, to evaluate conflict of interest, we also measure the impact of having bankers on the board of directors on firm value. The results show that the presence of bankers on boards does not improve the board's firm monitoring. Our results confirm that bankers on boards does however, offer protection to creditor faced with the dilemma of being both stockholder and creditor.

Explores how technology shapes the person and the ideas behind our decisions. From developer to architect, from business analyst to user, there are a number of big questions whose answers shape the systems with which we engage. As individuals, we each play many roles in our lives and as such there are some even bigger questions that haunt us in our journey: questions that transcend any specific role, questions that can't be answered by technology. The Web extra at http://youtu.be/elirN-WSq1g is an audio podcast of author Grady Booch reading his On Computing column, in which he discusses the big questions whose answers shape the systems with which we engage.

  • Work in progress - achieving the ABET professional skills using solidarity projects

Traditionally, engineering studies have focused on preparing students technically and given little importance to social or ethical aspects, nor the ability to work in multi-disciplinary teams. Currently though, these skills are an added value and have been included in most prestigious centrepsilas curricula. As a result, they have become a subject of study for the education community and the focus of numerous papers. Correspondingly, the Barcelona School of Informatics has developed a hardly explored initiative in order to inculcate these values and help students acquire these skills. This initiative gets them involved in what we call solidarity projects, where both students and professors get administrative and subsidized support to create cooperative work that will provide a solution to specific problems on developing countries and poor local areas. These projects may be introduced in some courses and during Bachelor and Master Thesis and have contributed towards the professional skills development of both students and professors involved.

  • Moral dilemmas: ethics in a senior seminar

The purpose of this paper is to describe the ethics module in a senior seminar for petroleum engineering students. The objective of the ethics module is to improve oral and written communication skills by asking the student to discuss the ethical aspects of a moral dilemma. Each student must select a character from a complex situation that has been designed to present a range of moral dilemmas for a large number of characters. The student must select one ethical issue and discuss it relative to one or more ethical codes. Rubrics are used to evaluate student performance.

  • Russian national character. Socionic interpretation

In the article the methodological potential of socionics for investigating a nation's mentality is considered. From the viewpoint of socionics - in the basis of mentality lie mental functions which build a specific system $sociotype. The authors interpret Russian social/national character as intuitive-ethical introvert (IEI). The social-psychological characteristic of IEI is provided.

  • Emergent Properties, Human Rights, and the Internet

The Internet is an artifact, but its uses represent emergent properties of large numbers of users discovering ways in which to interact and share information that couldn't necessarily have been predicted from the basic Internet design. The net has become a vital part of our society, but whether access to it should be a "human right" is controversial. There can be no question, however, that it has become a critical tool for research, business, education, government, and social interaction.

  • Complete professionalism for engineers

It is noted that the completely professional engineer is able to interface with many socioeconomical constraints. Interfacing and the constraints are addressed here in a new approach. The Accreditation Board for Engineering and Technology is stressing the importance of 'breadth for the engineering student.' The pressure of technical courses, however, limits the number of humanistic-social electives reasonably possible. A novel approach reduces this limitation. It takes advantage of three factors: (1) above-average innate ability of junior and senior engineering students; (2) their special training to focus on the essential fundamentals in course material; and (3) as in the technical areas, a relatively small number of fundamentals (many already learned in engineering courses) are applicable over a broad range of nontechnical subjects. These factors make possible the compression of many important, nontechnical electives into one course. It includes psychology, interpersonal relations, management, proposal presentations, project management, technical communications, engineering economics, and the legal and ethical aspects of engineering. It is argued that students are better served by the proposed plan than by uncoordinated electives.<>
