What Are IEEE Bylaws?
IEEE Bylaws are the foundational governance documents that define the operational rules, organizational structure, and procedural requirements of the Institute of Electrical and Electronics Engineers. Together with the IEEE Constitution, which sets out the organization's fundamental objectives and can only be amended by a vote of the full membership, the Bylaws establish how IEEE functions on a day-to-day institutional level. The Bylaws are approved and amended by the IEEE Board of Directors, giving that body the authority to adapt rules as the organization evolves while remaining bound by the constitutional framework.
IEEE's governing documents form a three-tier hierarchy. The Constitution occupies the highest level, followed by the Bylaws, and then the IEEE Policies, which contain more detailed statements on specific procedures and can be found through IEEE's official governance page. This layered structure allows senior leadership to refine operational guidance without requiring a full membership vote for every procedural change.
Scope and Content
The Bylaws address the composition and duties of the major organizational boards, including the Board of Directors, the Technical Activities Board, the Standards Association Board of Governors, the Member and Geographic Activities Board, the Publication Services and Products Board, and IEEE-USA. They specify terms of office, election procedures, quorum requirements, and the obligations of officers. Provisions also govern how IEEE organizational units such as Societies, Sections, and Chapters are established, operated, and dissolved. The IEEE Constitution and Bylaws document is publicly available and revised periodically as IEEE's governance needs change.
Standards Association Bylaws
The IEEE Standards Association maintains a separate but parallel set of bylaws governing the development and approval of technical standards. These bylaws define the processes by which standards projects are initiated, balloted, and published, and they specify how the Standards Board of Governors oversees this work. The IEEE SA Standards Board Bylaws detail the procedures for patent policies, appeals, and the maintenance of existing standards, ensuring that the standards development process remains transparent and open to participation from the broad technical community.
Role in Organizational Accountability
The Bylaws serve as the primary accountability mechanism within IEEE. They specify reporting relationships between boards and committees, require financial audits, and establish procedures for addressing conflicts of interest. Any board of an IEEE organizational unit is considered a committee of IEEE under the Bylaws framework, which subjects it to the same standards of conduct and disclosure. This structure, adopted by IEEE's Board of Directors on January 8, 1963, and revised many times since, is designed to preserve member trust in an organization whose membership spans more than 160 countries.
